Terms of Service

1. Acceptance of terms

By accessing or using Rex ("the Service"), operated by DelegateMe ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. The Service is available at rex.delegateme.com.

2. Description of service

Rex is a WhatsApp lead management and messaging platform for sales teams and businesses. The Service allows you to import leads, create message templates, send personalised WhatsApp campaigns, track replies, and manage follow-ups. Rex works by connecting to your own WhatsApp account — we do not provide WhatsApp accounts or phone numbers.

3. Beta service

Rex is currently in beta. The Service is provided on an invite-only basis and is free during the beta period. We reserve the right to introduce pricing, change features, or modify the Service at any time. We will give reasonable notice before introducing paid plans.

During beta, the Service may contain bugs, experience downtime, or undergo significant changes. We do not guarantee uptime or service availability during this period.

4. Account responsibilities

You are responsible for:

• Providing accurate information when creating your account
• Maintaining the security of your account credentials
• All activity that occurs under your account
• The accuracy and legality of any lead data you upload or enter
• Obtaining proper consent from individuals before adding them as leads and messaging them

You must notify us immediately at support-rex@delegateme.ai if you become aware of any unauthorised access to your account.

5. Acceptable use

You agree not to use Rex to:

• Send spam, unsolicited bulk messages, or messages to people who have not given consent
• Harass, threaten, or abuse any individual
• Send fraudulent, deceptive, or misleading content
• Violate WhatsApp's Terms of Service or acceptable use policies
• Violate any applicable laws, including Malaysia's Personal Data Protection Act 2010, Communications and Multimedia Act 1998, or any other relevant regulation
• Distribute malware, phishing links, or harmful content
• Attempt to access other users' data or interfere with the Service's infrastructure
• Resell, sublicense, or redistribute the Service without our written consent

We reserve the right to suspend or terminate your account if we determine, at our sole discretion, that you are violating these terms.

6. WhatsApp compliance and account risk

Rex connects to your personal WhatsApp account to send and receive messages. By using Rex, you acknowledge and agree that:

• Rex is not affiliated with, endorsed by, or officially connected to WhatsApp or Meta Platforms, Inc.
• You are solely responsible for complying with WhatsApp's Terms of Service and any applicable policies
• Sending messages through any third-party tool — including Rex — may result in WhatsApp restricting, suspending, or permanently banning your phone number, at WhatsApp's sole discretion
• We take reasonable measures to stagger message delivery and reduce risk, but we make no guarantees that your WhatsApp number will not be flagged, restricted, or banned
• We bear no responsibility or liability whatsoever if your WhatsApp account is restricted, suspended, or banned — whether as a result of using Rex, the volume or content of messages you send, or any other action taken by WhatsApp or Meta Platforms
• You use Rex at your own risk and accept full responsibility for any consequences to your WhatsApp account

7. Data ownership

You retain full ownership of all data you upload to Rex, including lead information, message templates, and campaign content. We do not claim any ownership rights over your data.

You grant us a limited licence to process, store, and transmit your data solely for the purpose of providing the Service. This licence ends when you delete your account.

8. Privacy

Your use of Rex is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

9. Limitation of liability

To the maximum extent permitted by law, Rex and DelegateMe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or lead information
• WhatsApp account restrictions, suspensions, or bans — regardless of the cause
• Loss of your WhatsApp number or inability to use WhatsApp for any period
• Service interruptions, downtime, or data loss
• Actions taken by WhatsApp, Meta Platforms, or any third party regarding your account
• Any damages arising from the temporary storage or deletion of conversation data

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. You expressly agree that your use of Rex is at your sole risk.

10. Account termination

You may delete your account at any time from the Settings page. Upon deletion, your data will be removed in accordance with our Privacy Policy.

We may suspend or terminate your account if you violate these terms, engage in abusive behaviour, or if we discontinue the Service. We will make reasonable efforts to notify you before termination, except in cases of severe violations.

11. Changes to terms

We may update these terms at any time without prior notice. It is your responsibility to review this page periodically. Continued use of Rex after any changes constitutes acceptance of the updated terms.

12. Governing law

These terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these terms or the use of Rex shall be subject to the exclusive jurisdiction of the courts of Malaysia.
